Terms of Service
Last updated 1 October 2026
These terms are an agreement between you and Jorge Mager, operating under the name Tyrell (“Tyrell”, “we”, “us”), the maker of Empathy, of [Business postal address — to be added]. By creating an account or using Empathy you agree to them. If you don't agree, please don't use Empathy.
1. What Empathy is, and what it isn't
Empathy is a tool for self-reflection. You talk with Daimon, an AI companion that listens, remembers what you've told it, and points out patterns in what you say.
Empathy is not therapy, counselling or medical care. It does not diagnose, treat or give medical or psychological advice, and it does not replace a qualified professional. It is not for emergencies. If you are in danger or thinking about harming yourself or someone else, contact your local emergency number or a crisis line now.
Daimon's replies are generated by AI. They can be wrong, incomplete or inappropriate, and you should not rely on them for decisions about your health, safety, finances or legal matters.
2. Who can use Empathy
You must be at least 18 years old. You need an account with a working email address you control. Keep your password to yourself; you are responsible for what happens under your account. One person, one account.
The service is intended only for users outside the EU/EEA, the UK and Switzerland.
3. Your conversations
What you write stays yours. You give us permission to store and process it only to run Empathy for you: to generate Daimon's replies, to remember what you've shared across sessions, and to keep the service working and secure. We don't sell your conversations, use them for advertising, or use them to train general AI models. How we handle your data, and which providers help us, is set out in our Privacy Notice.
4. Using Empathy responsibly
You agree not to:
- break the law, or use Empathy to harm, harass or deceive anyone;
- try to get around usage limits, access other people's accounts, or disrupt the service;
- copy, resell or automate access to Empathy, or use it to build a competing product;
- submit other people's personal information without a right to do so.
We may suspend or close an account that breaks these terms, and will tell you why unless the law or safety prevents it.
5. Free and paid use
An exchangeis one message from you and Daimon's reply. Every new account gets 25 free exchanges, once.
Paid options, in US dollars:
- Basic: $12.99 a month for 120 exchanges a month.
- Plus: $29 a month for 300 exchanges a month.
- Top-up: $4.99 for 25 exchanges, one-off.
A plan's allowance resets each billing month and unused monthly exchanges do not carry over. Top-up exchanges do not expire while your account exists and are used only after your monthly or free allowance. Taxes such as VAT are added at checkout where they apply. Paid plans may not be available yet; where they are not, the site says so and no payment can be taken.
We may change prices or allowances. A change to a subscription you already have takes effect from your next billing month, and we will tell you before it does.
6. Payments are handled by Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: when you buy a plan or a top-up, you buy it from Paddle, which handles checkout, payment, invoicing, sales tax and VAT, and refunds. Your purchase is also subject to Paddle's Buyer Terms. Paddle provides customer service for billing enquiries, and we are happy to help too.
Subscriptions renew automatically each month until cancelled. You can cancel at any time, as easily as you subscribed: on your Home page choose Cancel subscription(or Manage subscription, which also lets you update your card and see your invoices), or use the link in your Paddle receipt, or write to us. Cancellation takes effect at the end of the month you have paid for, and you keep the exchanges you have paid for until then.
7. Refunds
You can get a full refund within 14 days of a first purchase or the start of a subscription. The details are in our Refund Policy. When a purchase is refunded, we take back what it gave you: a refunded top-up removes its exchanges from your balance, and a refunded subscription payment ends the plan and cancels the subscription. Nothing in these terms limits your rights under consumer law.
8. Ending your account
You can delete your account at any time with “Delete my account” in the app, or by writing to privacy@shadowly.ai. Deleting it removes your conversations and memories as described in the Privacy Notice. If you have a subscription, we cancel it immediately as part of deleting your account, so you are not charged again; your plan ends straight away and the rest of the month you have paid for is not refunded, unless the Refund Policy gives you a refund. If we cannot cancel it, we do not delete the account, and tell you so. We may close Empathy altogether; if we do, we will give you reasonable notice and refund any unused part of a paid month.
9. Our responsibility to you
We work to keep Empathy available and your data safe, but we provide it “as is” and cannot promise it will always be available or free of errors. To the extent the law allows, we are not liable for indirect or consequential loss, and our total liability to you is limited to the amount you paid us in the 12 months before the claim. Nothing here excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.
10. Changes to these terms
We may update these terms. If a change matters, we will tell you by email or in the app before it takes effect. Continuing to use Empathy after that means you accept the new terms; if you don't, you can delete your account.
11. Law and disputes
These terms are governed by the laws of the State of Israel, and disputes go to the competent courts of Jerusalem, Israel. If you are a consumer, you also keep the protection of any mandatory laws of the country where you live and may bring a claim in its courts where those laws give you that right.
